Why Form Your LLC in Delaware?
Delaware has been the corporate formation capital of America for over 200 years, the Chancery Court, Series LLC flexibility, and investor-preferred framework make it the default choice for companies planning to raise capital.
Maximum Privacy
Delaware does not require member information on the Certificate of Formation by default. When we file for you, our name goes on the document as organizer, not yours. Note: if member information was voluntarily included at formation, it may be accessible via a certified copy request.
Zero State Income Tax
Delaware LLCs pay a flat $300 annual franchise tax due June 1 each year. Delaware does not impose a state income tax on pass-through LLC profits earned by non-Delaware residents (consult a licensed tax professional for your situation). For corporations, the franchise tax calculation is different and can be much higher, consult a licensed CPA before choosing a Delaware C-corp.
Asset Protection
Delaware's Court of Chancery is the most sophisticated and predictable business court in America, over 200 years of consistent rulings with specialized business-law judges. Delaware Series LLC allows multiple internally segregated series, each with its own assets and liabilities. Consult a licensed Delaware attorney for advice specific to your situation.
Frequently Asked Questions
Answers to the questions we hear most about Delaware LLCs.
How do I form an LLC in Delaware?
When you choose our Complete or Professional plan, we file your Certificate of Formation with the Delaware Division of Corporations, establish your registered agent, and deliver your documents. Delaware filings are typically processed within one to two business days.
Why do startups and investors prefer Delaware?
Delaware's Court of Chancery is a specialized business court with over 200 years of consistent, predictable corporate law rulings. Venture capital firms and institutional investors are familiar with Delaware's framework, which makes it the default formation jurisdiction for companies planning to raise capital.
What is a Delaware Series LLC?
A Delaware Series LLC allows a single parent LLC to create internally segregated "cells" or "series," each with its own assets, liabilities, and members. This is valuable for real estate investors holding multiple properties or fund managers running separate investment strategies under one entity umbrella. Delaware was among the first states to codify this structure.
Are Delaware LLC members public record?
The state does not require member information to be listed on the Certificate of Formation or most public filings. Note: if member information was voluntarily included at formation, it may be accessible via a certified copy request. Our formation process keeps member details off the formation document by default.
What is a Delaware registered agent?
A registered agent in Delaware receives legal documents and official state mail on behalf of your entity. Every Delaware LLC and corporation must maintain a registered agent at a physical Delaware address, a PO Box is insufficient.
What is the Delaware annual report fee?
Delaware LLCs owe an annual Franchise Tax of $300 by June 1 each year. Corporations have a different calculation method (authorized shares or assumed par value). Our compliance calendar tracks your filing date and notifies you in advance.
As of March 2026, the federal Corporate Transparency Act reporting requirement has been suspended for domestic LLCs. You do not need to file a Beneficial Ownership Information (BOI) report for your Delaware LLC.
We Track Your Deadlines So You Don’t Have To
Annual reports, filing renewals, compliance reminders, every plan includes automatic deadline tracking at 60, 30, and 7 days before each filing is due. Others charge $69–$299/year extra for this. Ours is included.
Automatic Reminders
We notify you well before deadlines designed to help you stay ahead of filings and late penalties.
Annual Report Filing
Add annual report filing to any plan for $99 and we handle the paperwork and state fees on your behalf.
Good Standing Made Simple
Stay compliant without memorizing state rules. We keep your LLC in good standing year after year.
From Our Clients
The best measure of our service is the trust our clients place in us.
"They told me 48 hours but I had everything back in less than a day. My name doesn't show up on any public filing, which was the whole point for me. Honestly for $99 a year with the compliance calendar included, it's a no brainer."
"I kept putting this off because I thought forming an LLC was going to be this whole big thing. It really wasn't. They took care of everything and I didn't have to figure out any of it. Kicking myself for not doing it sooner."
"I needed my home address off of anything connected to my business. That was the big thing for me. They set me up with a real business address, handle all my state documents, and I don't have to think about it. Best money I've spent on my business, hands down."

Why Delaware for your LLC?
Delaware is where the modern American business entity grew up. More than two-thirds of Fortune 500 companies are chartered here, and the state's Court of Chancery, a 230-year-old bench of judges who hear business disputes without juries, is the reason why. The Delaware Limited Liability Company Act, particularly 6 Del. C. §18-215, also pioneered the "protected series" concept that Texas and others later adopted.
Delaware rewards founders who plan to raise outside capital or hold assets across multiple sleeves. Investors know the case law. Banks know the filings. The tradeoff is that Delaware does charge an annual franchise tax of $300 flat for LLCs, due by June 1, regardless of revenue or activity. There is no annual report requirement for LLCs, just the tax, which makes compliance simple but not free.
- Court of Chancery, specialized business-law judges, written opinions, fast case movement.
- Series LLC origin, §18-215 gave rise to the protected-series structure copied by many states.
- Strong banking acceptance, most major banks are fluent in Delaware documents.
- No annual report for LLCs, but a flat $300 franchise tax due each June 1.
- Member privacy, Delaware does not require member or manager names on the Certificate of Formation.
Delaware is a considered choice, not a default one. Consult a licensed Delaware attorney if your plans involve convertible notes, preferred units, or foreign qualifying into other states.
What is the difference between Delaware's Chancery Court and Superior Court?
The Court of Chancery handles equity matters, fiduciary duties, contract interpretation, LLC governance disputes, without juries. The Superior Court handles law matters (personal injury, criminal cases, jury trials). For LLC members, Chancery is where operating agreement and fiduciary disputes are resolved, which is part of why the state is attractive to business counterparties.
Do I have to pay Delaware's franchise tax even if my LLC had no activity?
Yes. Delaware's $300 LLC franchise tax is a flat annual amount regardless of revenue or activity, due by June 1. Missing the deadline triggers a $200 late penalty plus 1.5% monthly interest. Our compliance calendar locks June 1 in from the start.
Getting Started in Delaware
Your Delaware filing is prepared for submission through the Division of Corporations' online portal. Standard processing runs 5–7 business days; 24-hour, same-day, 2-hour, and even 1-hour expedite tiers are available at additional state fees. After approval you receive your stamped Certificate of Formation, an EIN (where plan applies), a Delaware operating agreement drafted around §18-215 series-readiness and §18-1101 fiduciary customization, your registered agent appointment at a Delaware street address, and a compliance calendar keyed to the June 1 franchise tax.
